BY-LAWS

of

LAST MAN'S CLUB

of

MANKATO, MINNESOTA

for

VIETNAM VETERANS


ARTICLE ONE - MEMBERSHIP

Section One

The membership of this Club shall be restricted to veterans now residing in the cities of Mankato, Minnesota and North Mankato, Minnesota and the immediate surrounding communities, who have served HONORABLY in the Armed Forces of the United States between the years 1959 and 1975 and were awarded the Vietnam Service Medal or the Armed Service Expeditionary Medal as a result of service in the Republic of Vietnam.

Section Two

The membership roster of this Club shall be permanently closed at midnight on February 28, 1992, or when the membership roster reaches 300 members, whichever is sooner. All eligible persons making application to the President or Secretary or any member of the Organizing Committee, prior to the closing time set in this paragraph, shall be added to the membership roster of this Club. Thereafter the membership shall be permanently closed and no membership vacancies caused by resignation or otherwise shall be re-filled in any manner. All applicants shall supply a copy of their DD-214 as proof of eligibility.

Section Three

It shall be a sacred duty of all persons on the membership roster to promptly inform the Secretary of the Club of any change of residence or address that may occur following the organization of this Club in order that the Secretary may at all times have a correct and up-to-date mailing list of all surviving members of the Club.


ARTICLE TWO - HEADQUARTERS

Section One

The Headquarters of the Club shall be located at such place within the City of Mankato or surrounding community as the president shall designate.

ARTICLE THREE - OFFICERS

Section One

The officers of this Club shall be a President, Vice President, Secretary-Treasurer, and Chaplain. In addition, a six man Banquet Committee shall be appointed by the President. The members of the Banquet committee shall serve a two year term with three new members being appointed each year.

Section Two

It shall be the duty of the President to preside at the annual meeting of the Club and to make all necessary arrangements for the annual meeting and Banquet each year.

The Vice-president shall assist the president, and in the absence of the president shall take over the duties of the President.

The Secretary-Treasurer shall conduct the correspondence and keep the records of the Club, including the list of names and addresses of all members. He shall be in charge of all funds of this Club and shall deposit them in such bank in Mankato, Minn. as the members of this Club shall select for this purpose. He shall dispense these funds only for the purpose of paying financial obligations of this Club, such obligation to be first approved by the President and the majority of the six man Banquet Committee for payment. He shall keep a permanent record of all vacancies caused by death of a member or otherwise. He shall give notice of all meetings of the Club and keep the minutes at all meetings.

The President shall safely keep the bottle of Canadian Club Whiskey

which was purchased in Vietnam in 1971 by Rod Larson until such time as it shall be opened and the last toast offered.

All officers shall serve for a term of one year, or until their successors are elected. No officer shall receive any compensation whatsoever, for services performed. In the event that the president or vice-president is not able to serve during any year, their duties shall be performed by the Secretary-Treasurer.

Section Three

All officers of the Club shall be elected annually to serve for one year, or until their respective successors be elected at the annual banquet-meeting each year. All officers shall serve for one year and their terms commence the day after the annual banquet.


ARTICLE FOUR - DUES

Section One

The dues of the members shall consist of an initial Fee of $5.00 per member. Thereafter, no dues whatsoever shall be paid, with the exception of an annual assessment to defray the necessary expenses of the annual banquet.


ARTICLE FIVE - ATTENDANCE

Section One

Attendance at the annual banquet-meeting shall be obligatory; but absence from the City; sickness of the member or within his family; or other reasonably good excuse, shall be considered proper excuse for absence; provided however, that such absent member shall transmit to the Secretary such excuse in writing prior to the annual meeting. Failure of any member to attend two consecutive meetings, without excuse for such absence properly submitted to the Secretary, shall be sufficient cause for dropping such member's name for the roster of the Club.


ARTICLE SIX - AMENDMENTS

Section One

These By-Laws may be amended at any regular meeting of the Club by a two-thirds vote of the members present.


These By-Laws were approved as Amended at the meeting of the Mankato Area Vietnam Veteran's Last Man's Club on held February 23, 1991. The amendment changed the closing date for membership from Veterans Day 1990 to February 28 1992.
